2. Directors as Trustees: Trustee is a person who holds and manages the property for other person. They are in the position of trustees, when they manage the assets and properties of the company. They must account for all the company’s money and property over which they exercise control. If they misuse the money or property they have to reimburse for the same. Similarly, when they exercise the powers entrusted to them they are in the same position. It means that they should safeguard the interest of the company and should never abuse the powers for promoting their personal ends.

Directors must exercise their powers honestly and in good faith and in the interest of the company. Directors are the trustee for the company and not for the third party to whom the contracts have been made. Director’s true position is that they are in the fiduciary relationship with the company.

3. Directors as Officers: Directors also act as officers of the company. When they have to manage the affairs of the company, they are in the position of Chief Executive Officers. Thus, the directors combine in themselves the roles of agents, trustees and officers.

4. Directors as Employees: Directors are not the employees of the company. They are elected by the representatives of the shareholders. But under certain circumstances i.e. under a special contract with the company, they may hold a salaried employment and will be treated as employee of the company. Thus, from the above discussion we can say that the directors are not the agents, trustee and the managing partners of the company but the combination of all these.
